<h1><strong>TERMS AND CONDITIONS OF CONTRACT</strong></h1>
<p>By ordering services from, or accepting services performed by, Colt Expositions, LLC or its Agents, Customer and any other party with an interest in the Goods agree to these Terms and Conditions.</p>
<h2><strong>1. Definitions</strong></h2>
<p>Colt Expo: Colt Expositions, LLC, and its employees, directors, officers, agents, assigns, affiliated companies, and related entities. Agents: Colt Expo's agents, sub-contractors, carriers, and their agents. Customer: an Exhibitor, Show Management/Corporate/Meeting client, or other party requesting Services. Exhibitor: a Customer exhibiting at a show, and its employees, agents, and representatives. Client: a show organizer, corporation, or meeting host contracting with Colt Expo under a signed Service Agreement. Goods: exhibits, property, and commodities of any type for which Colt Expo is requested to perform Services. Carrier: motor carrier, van line, air carrier, or freight forwarder. Show Site: the venue where an exposition or event takes place. Supervised Labor: union labor supervised or directed by Colt Expo. Un-Supervised Labor: union labor Customer elects to direct itself; Customer assumes responsibility and liability for such labor. Services: warehousing, transportation, drayage, labor, material handling, and related services.</p>
<h2><strong>2. Scope</strong></h2>
<p>These Terms bind Customer, Colt Expo, and their respective Agents and representatives, including Customer-contracted labor such as Exhibitor Appointed Contractors (EACs) and Installation/Dismantle companies, and any other party with an interest in the Goods.</p>
<h2><strong>3. Payment Terms</strong></h2>
<p><strong>Exhibitors: </strong>Payment in full is due before delivery of ordered materials or services. Colt Expo may require prepayment or a credit card authorization on file as a condition of performing Services, and may hold Customer Goods for non-payment.</p>
<p><strong>Show Management / Corporate / Meeting Clients: </strong>50% deposit due 30 days before move-in/installation; balance due Net 15 after the event.</p>
<p><strong>All Customers: </strong>Any balance not paid per the above is subject to a finance charge of 1.5% per month (18% annually), or the maximum rate allowed by law, whichever is less. Colt Expo does not accept cash payment at show site.</p>
<p><strong>Card Processing Fee: </strong>A flat 3% convenience fee applies to credit/debit card payments made by Show Management/Corporate/Meeting Clients, and to any request by such Clients to reprocess payment on an alternate card. This fee does not apply to Exhibitor orders. Each exhibiting firm remains ultimately responsible for its own charges even where a third party has agreed to bill; Colt Expo may pursue collection directly from the exhibitor if the third party does not pay. Colt Expo will enter orders and invoices into exhibitor-provided payment platforms (e.g., Ariba, Stripe, Oracle Fusion, Zycus, or similar) but may charge a fee of up to $100 to do so.</p>
<p><strong>Cancellation: </strong>Customer may cancel any order for standard items at any time by written notice, with no cancellation deadline or fee schedule based on how far in advance notice is given. Colt Expo will refund all payments received, less: (a) the portion attributable to direct incremental costs Colt Expo has already incurred in connection with the order as of the date of cancellation (e.g., custom-cut carpet, special furniture, material handling, rigging, labor, electrical, or graphics already produced or performed); and (b) any card processing fee already incurred by Colt Expo on the original payment, which is non-refundable.</p>
<p><strong>Tax Exempt: </strong>Customers claiming tax-exempt status must submit a valid Sales Tax Exemption Certificate for the applicable state before the deadline date, or applicable taxes will be invoiced.</p>
<h2><strong>4. Mutual Indemnification</strong></h2>
<p><strong>(a) Customer to Colt Expo: </strong>Customer shall defend, indemnify, and hold harmless Colt Expo from claims, lawsuits, and costs (including reasonable attorney's fees) arising from injury, death, or property damage (other than to the Goods) relating to performance of Services, including acts of Customer's representatives, agents, EACs, subtenants, or invitees, and including Customer's supervision (or failure to supervise) labor secured through Colt Expo. This obligation does not extend to Colt Expo's own negligence or willful misconduct. Customer acknowledges the Show Site is an active work zone and that Customer, its agents, and representatives are present at their own risk.</p>
<p><strong>(b) Colt Expo to Customer: </strong>To the extent of Colt Expo's own negligence or willful misconduct, and subject to the limitations below, Colt Expo shall defend, indemnify, and hold harmless Customer from claims arising from injury, death, or property damage (other than to the Goods). This does not extend to claims arising from Customer's presence in areas marked off-limits to exhibitors, or presence outside the effective dates/hours of Customer's space lease.</p>
<h2><strong>5. Disclaimer and Limitation of Liability</strong></h2>
<p>UNDER NO CIRCUMSTANCES WILL ANY PARTY BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR INCOME. Colt Expo is liable for loss or damage to Goods only where directly caused by Colt Expo's negligence or willful misconduct, subject to the liability cap in Section 7.</p>
<h2><strong>6. No Liability for Loss or Damage to Goods</strong></h2>
<p>Colt Expo assumes no liability for: damage to uncrated, improperly packed, pad/shrink-wrapped, or concealed-damage Goods (including glass, electronics, prototypes, or original art); ordinary wear and tear; Goods received without receipts, freight bills, or specified piece count; Goods in Cold Storage or Accessible Storage (stored at Customer's own risk); unattended Goods at any point between inbound receipt and outbound loading; empty containers or their contents while in Empty Container Storage (labeling is Customer's sole responsibility, old labels must be removed); Goods left on the show floor after the closing deadline (Colt Expo may remove, ship at Customer's expense, or dispose of such Goods without liability); improperly loaded or labeled Goods once delivered to Customer's carrier; or loss resulting from Colt Expo rerouting a shipment where Customer's designated carrier fails to appear at the appointed time. Colt Expo is not liable for loss or damage caused by Acts of God, weather, labor disputes, acts of terrorism or war, or other causes beyond its reasonable control. Customer may not hang items from Colt Expo-supplied booth materials (panels, pipe and drape, etc.); Customer alone is liable for damage or injury resulting from doing so.</p>
<h2><strong>7. Measure of Damages / Liability Cap</strong></h2>
<p>If found liable for loss or damage to Goods (show floor, transit, or storage), Colt Expo's sole and exclusive maximum liability is $0.50 (USD) per pound, with a maximum of $100.00 per item/container, or $1,500.00 per shipment, whichever is less. For labor Colt Expo supervises for a fee, liability is limited to negligent supervision only, capped at the cost of the supervised labor or the depreciated value of the Goods, whichever is less. Where Customer elects Un-Supervised Labor, Customer assumes all liability for that labor's actions, including loss, damage, or bodily injury, and indemnifies Colt Expo and show management accordingly.</p>
<h2><strong>8. Claims and Suit</strong></h2>
<p>Notice of loss or damage must be given to Colt Expo within 24 hours of occurrence (via an Incident Report at Show Site) or of outbound delivery. A written claim, identifying the Goods, asserting liability, and stating a specific dollar amount, must be received: within 30 days after show close for Show Site claims, or within 9 months of delivery for in-transit claims (in-transit claims should be directed to the carrier named on the Material Handling Agreement-Receipt). Incident reports and shortage notations alone do not constitute a filed claim. Customer may not withhold payment to Colt Expo as an offset against an alleged claim; disputes are resolved as a separate action on their own merits. Any suit must be filed within 1 year of claim declination (logistics claims excluded).</p>
<h2><strong>9. Insurance</strong></h2>
<p>Colt Expo is not an insurance company and does not provide insurance. Customer is solely responsible for insuring its own Goods against all risk of loss, in transit, in storage, and on the show floor; Colt Expo recommends Customer carry All-Risk coverage. Colt Expo separately maintains Workers' Compensation, Commercial General Liability ($1,000,000 minimum), and Automobile Liability ($1,000,000 minimum) coverage for its own operations. Exhibitors using EACs must ensure their contractors meet applicable insurance requirements and submit documentation at least 20 days before move-in.</p>
<h2><strong>10. Lien</strong></h2>
<p>Customer grants Colt Expo a security interest in and lien on Customer's Goods in Colt Expo's possession (and proceeds thereof, including insurance proceeds) to secure payment for services, materials, and labor provided. Colt Expo may hold Goods until amounts owed are paid, and may exercise the rights of a secured party under the UCC; 5 days' notice by registered or certified mail constitutes reasonable notice of any sale or disposition.</p>
<h2><strong>11. Waiver & Release</strong></h2>
<p>As material consideration for Colt Expo's services, Customer waives and releases all claims against Colt Expo for matters as to which Colt Expo has disclaimed liability under these Terms.</p>
<h2><strong>12. Driver Liability Waiver</strong></h2>
<p>Any driver entering Colt Expo's premises to deliver or pick up freight (together with the driver's employer and the owner of the vehicle) assumes all risk of injury or property damage arising from that activity, enters at their own risk, and agrees to indemnify and hold harmless Colt Expo and its Agents from any resulting claims.</p>
<h2><strong>13. Confidentiality</strong></h2>
<p>Colt Expo and its Clients will keep proprietary and sensitive information exchanged in the course of business, including exhibitor lists, operational plans, and pricing, confidential.</p>
<h2><strong>14. Force Majeure</strong></h2>
<p>Colt Expo is not liable for non-performance, loss, delay, or damage due to strikes, labor disputes, natural disasters, civil disturbance, power failure, government action, acts of terrorism or war, or other causes beyond its reasonable control.</p>
<h2><strong>15. Electrical Services</strong></h2>
<p>Where Colt Expo provides electrical services, claims or adjustment requests must be submitted in writing by Customer prior to the close of the event; claims not filed in writing by that time will not be considered. Colt Expo is not responsible for damage or loss caused by a loss of power beyond its reasonable control, and Customer agrees to hold Colt Expo, its officers, employees, and agents harmless from such power loss. Colt Expo is not liable for any indirect or consequential damages (including lost profits) arising from electrical services, even if advised of the possibility of such damages, regardless of theory (contract, tort, negligence, products liability, or otherwise). Customer shall indemnify and hold harmless Colt Expo from claims, liabilities, damages, fines, penalties, or costs (including reasonable attorneys' fees) arising from Customer's actions or omissions in connection with electrical services provided under these Terms. Electrical services are not automatically included with equipment or booth rentals and must be ordered separately.</p>
<h2><strong>16. Governing Law and Venue</strong></h2>
<p>These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Exclusive venue for any dispute is the United States District Court for the Northern District of California, or, where applicable, the Superior Court of California, Contra Costa County.</p>
<h2><strong>17. Rental Responsibility</strong></h2>
<p>All materials and equipment provided by Colt Expo to Customer are on a rental basis and remain the property of Colt Expo for the duration of the show or event, except where specifically identified as a sale. Customer accepts responsibility to return Colt Expo's equipment in good condition, or to pay for its replacement value if lost or damaged. Prices quoted include installation, rental, and removal for the duration of the show except where otherwise indicated. Where Customer does not select drape or carpet colors, show colors will prevail.</p>

<p>This Privacy Policy (the “Policy”) governs the manner in which Colt Expositions collects, uses, maintains, and discloses information collected from you in connection with the Colt Expositions online storefront.</p>
<p><span style="font-family: Arial, Verdana, sans-serif; font-size: 12px;">Colt Expositions may collect and store information about you and/or your business including your or your business’s name, email address, phone number, mailing address, accounting transaction data, payment or other financial information, aggregate transaction data, customer sales and order information, third-party data, business data, browser data, devices used, technical information about your means of connection to applications, and any other information or data submitted by you or third parties in connection with our Software Services, Storefronts, or other services rendered pursuant to the Agreement (the “Information”).</span></p>
<p><strong><span style="text-decoration: underline;">Information Use</span></strong></p>
<p>Information collected may be used in connection with or for purposes of providing services to you, your business, and to others, improving services provided to you, your business, or to others, providing notices to you, complying with applicable law, and any other lawful purpose, including protecting the health or safety of you or others, and monitoring and preventing fraudulent or unlawful third-party activity.</p>
<p><strong><span style="text-decoration: underline;">Commercial Use of Information</span></strong></p>
<p>Colt Expositions will not sell or share the Information with third parties for any commercial purposes without your consent and express agreement. Colt Expositions may, however, use the Information in order to share generic, collective, group, or other non-identifying information about the use of Colt Expositions’s products and services as part of commercial transactions with third parties to help Colt Expositions improve its products and services or for any other lawful purpose.</p>
<p><strong><span style="text-decoration: underline;">Third-Party Service Providers</span></strong></p>
<p>Colt Expositions may use third-party service providers and vendors to assist Colt Expositions in providing its products and services to you and others, including, without limitation, services to host Colt Expositions’s Software Services, Storefronts, payment processes, and other services pursuant to the Agreement. Colt Expositions may also use third-party service providers and vendors to store Information and other data. Any such third parties would have access to your Information for the limited purpose of assisting, as reasonably necessary, Colt Expositions in providing Software Services and other services pursuant to the Agreement.</p>
<p>Colt Expositions may disclose your Information as Colt Expositions reasonably believes is required by court order, governmental directive, or other law, to protect the rights of Colt Expositions, or as otherwise allowed pursuant to the Agreement or applicable law.</p>
<p><strong><span style="text-decoration: underline;">Information Protection</span></strong></p>
<p>Colt Expositions will retain, protect, and process the Information and underlying or related data using commercially reasonable practices. Although Colt Expositions will undertake such efforts to preserve and protect the integrity of the Information, you acknowledge and agree that all security measures have potential risks.</p>
<p><strong><span style="text-decoration: underline;">Customer Control of Collected Data</span></strong></p>
<p>You may decline to provide or submit Information to us, however, some of our Software Services, Storefronts, or other services may not be available to you if you choose not to provide or submit Information. You also have a right to access the Information that we hold (about you) upon reasonable written request.</p>
<p><strong><span style="text-decoration: underline;">Updates to our Policy</span></strong></p>
<p>By entering into the Agreement or the Acknowledgment or by using our products or services, you consent to the collection and use of your Information by us consistent with this Policy and the Agreement. We may change this Policy from time to time, for any reason. Any such changes become effective when posted.</p>
<p>To the extent that this Policy is inconsistent with applicable law, it is the intent of Colt Expositions to comply with applicable law. If there is any conflict between any provision of this Policy and applicable law, such applicable law shall prevail; provided, however, that any such conflicting provision in this Policy shall be curtailed and limited only to the extent necessary to bring it within the legal requirements and the remainder of this Policy shall not be affected thereby.</p>
